Bikaji Foods International Limited (BFIL) has announced an additional investment of $1,50,000 (USD One Lakh Fifty Thousand) in its wholly-owned subsidiary, Bikaji Foods International USA Corp (Bikaji USA), as per its latest regulatory filing under Regulation 30 of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015.

The investment, completed on August 12, 2025, involves subscribing to 15,000 Common Stock of $10 each in Bikaji USA. The subsidiary, incorporated in New Jersey, USA on July 10, 2023, operates in the Fast Moving Consumer Goods (FMCG) industry, specifically in the trading of food items.

Purpose of Investment:
The move is aimed at accelerating business growth and strengthening distribution channels in the US market. Bikaji Foods plans to leverage the investment to expand its reach, improve customer accessibility, and enhance its market presence in North America.

Despite the fresh infusion of funds, Bikaji USA remains a 100% wholly-owned subsidiary of BFIL, ensuring complete control over its US operations.

• Authorised Capital: $15,00,000 (1,50,000 Common Stocks of $10 each)

• Paid-up Capital (post-investment): $9,00,000 (90,000 Common Stocks of $10 each)

Strategic Significance:
This investment reflects Bikaji’s focus on international expansion, tapping into the growing demand for Indian snacks in the United States. With the FMCG sector in the US showing strong appetite for ethnic food products, Bikaji aims to cement its position as a leading player in this niche.

The disclosure also confirms that the transaction was executed on an arm’s length basis and does not require any governmental or regulatory approvals.

Bikaji’s latest move underlines the company’s long-term strategy of diversifying its revenue base through global markets, especially in regions with large Indian diaspora and growing preference for Indian packaged foods.
