Bonlon Industries Limited has announced the incorporation of a wholly owned subsidiary (WOS), SHV Industries Private Limited, which was officially incorporated on 27th November 2024. The new entity has been registered with CIN: U46620DL2024PTC439237 and has an authorized capital of Rs. 10,00,000 and a paid-up capital of Rs. 10,00,000. This move expands the company's business horizon, though the new subsidiary has not yet commenced its business operations.

In line with the SEBI Circular SEBI/HO/CFD/CFD-PoD1/P/CIR/2023/123 dated July 13, 2023, Bonlon Industries has provided a detailed disclosure regarding the acquisition of SHV Industries Pvt. Ltd., which falls within a related party transaction since it is a wholly owned subsidiary of Bonlon Industries. The subsidiary is involved in several business domains, including:

1. Manufacturing of wires and cables
2. Trading of metals and other goods
3. Construction

The acquisition was made through a 100% cash subscription to the paid-up capital of Rs. 10 Lakh, consisting of 1 Lakh equity shares priced at Rs. 10 each. This acquisition does not require any governmental or regulatory approvals, as it pertains to a wholly owned subsidiary with no immediate business activities.

The Upcoming IPOs in this week and coming weeks are Ganesh Infraworld, Suraksha Diagnostic, Property Share REIT, Rosmerta Digital, Avanse Financial and Nisus Finance.

The Current active IPO is Agarwal Toughened, Apex Ecotech, Abha Power and Steel and Rajputana Biodiesel.

Bonlon Industries has provided clarity that the shareholding control of SHV Industries is entirely with Bonlon Industries, with 100% ownership in the subsidiary. The company emphasized that this acquisition is part of their long-term growth strategy.

For now, SHV Industries Pvt. Ltd. is in the early stages of its operations and will focus on expanding its presence in sectors like manufacturing, trading, and construction, contributing to the broader business portfolio of Bonlon Industries.
