The Customs, Excise, and Service Tax Appellate Tribunal (CESTAT) Ahmedabad has delivered a significant ruling in favor of M/s JEM Industries Limited, resolving a long-standing dispute with the Department of Central Excise and Customs, Anand. The case, initiated in 2016, involved a hefty excise duty demand of ₹3,00,00,799, along with associated penalties and interest. This verdict brings substantial relief to the company, which manufactures excisable goods such as motor starters, switches, and current transformers under Chapters 84 and 85 of the Central Excise Tariff Act, 1985.
The Core of the Dispute
The Department’s case revolved around the pricing mechanism employed by JEM Industries in transactions with its sole marketing agent, M/s Jyoti Pumps & Electricals Limited (JEPL), formerly known as Jyoti Marketing & Projects Ltd. (JMPL). The agreement between the two entities operated under two frameworks:
- Principal-to-Principal Basis: Goods sold at a 55% discount to JEPL, which were priced 8-10% higher than sales to other independent buyers.
- Principal-to-Agency Basis: Goods sold to buyers procured by JEPL at a 45% discount, with JEPL earning an 8-10% commission.
The Department questioned the legitimacy of these pricing structures, citing the 17.78% shareholding JEPL held in JEM Industries and the presence of common directors in both companies.
CESTAT Ahmedabad Verdict
After careful review, CESTAT Ahmedabad found that the agreements and sales practices adhered to legal norms. The tribunal determined that:
- No undue benefit was derived from the relationship between JEM Industries and JEPL.
- The discounts and commissions were standard for such transactions.
- The Department's demand lacked substantive evidence to establish wrongdoing or tax evasion.
As a result, the entire demand, including penalties and interest, was dismissed, delivering a favorable verdict for the company.
Financial Implications
The tribunal’s decision ensures zero financial liability for JEM Industries, as the excise demand and associated penalties were fully nullified. This ruling reaffirms the legitimacy of the company’s practices and provides much-needed clarity in cases involving marketing agent relationships.
