Finolex Cables Limited has announced the schedule for its 56th Annual General Meeting (AGM), which will take place on Saturday, September 28, 2024, at 11:30 a.m. The meeting will be conducted through Video Conferencing (VC)/Other Audio Video Means (OAVM) at the company's registered office located at 26-27, Mumbai-Pune Road, Pimpri, Pune – 411018. This decision is in accordance with the circulars issued by the Ministry of Corporate Affairs and the Securities and Exchange Board of India (SEBI) to ensure compliance with the current regulations.

In preparation for the AGM, Finolex Cables is providing its shareholders with the facility to vote electronically. The remote e-voting process will be facilitated by NSDL. According to Section 108 of the Companies Act, 2013, and Rule 20 of the Companies (Management & Administration) Rules, 2014, the cut-off date for determining eligibility to vote is Saturday, September 21, 2024. The remote e-voting period will commence on Wednesday, September 25, 2024, at 9:00 A.M. and end on Friday, September 27, 2024, at 5:00 P.M. After this period, the e-voting module will be disabled by NSDL. The results of the voting will be declared as per the relevant rules and will be available on the websites of the Stock Exchanges and the company's official website.

Regarding the financials, the Board of Directors at their meeting on May 23, 2024, had recommended a dividend of 400% (Rs. 8/- per equity share) for the financial year ending March 31, 2024. The record date for determining entitlement for this dividend is Wednesday, September 18, 2024. If approved at the AGM, the dividend will be paid on or before October 27, 2024, after deducting applicable tax at source. Payments will be made to those members whose names appear in the Register of Members as of the date of the AGM for physical shares, and for electronic shares, based on beneficial ownership details received from NSDL and CDSL as of the close of their respective business hours on September 18, 2024.
