HLE Glascoat Limited, a leading Indian manufacturer of chemical process equipment, has announced a significant international acquisition through its wholly owned step-down subsidiary, HLE Surface Technologies GmbH. The subsidiary has entered into definitive agreements to acquire specific assets of Omeras GmbH, based in Lauter-Bernsbach, Germany, along with 100% ownership of Omerastore GmbH, a wholly owned subsidiary of Omeras.
The acquisition was finalised on 13 August 2025, with agreements signed after midnight on 14 August 2025 India time (prior to midnight on 13 August 2025 Germany time). The transaction, valued at €2.75 million, will be completed in cash within ten banking days from the effective date.
Details of the Entities Acquired
Omeras GmbH is a German company with a rich legacy dating back to 1838, specialising in architectural facades, vitreous enamel coating, and metal processing. Its expertise spans rear-ventilated curtain wall facades, glass lined panels, tanks, and turnkey infrastructure solutions. The company also provides consulting, planning, manufacturing, and installation services.
Its subsidiary, Omerastore GmbH, focuses on manufacturing glass-fused-to-steel (enameled) tanks and silos, which combine steel’s strength with glass’s corrosion resistance. These modular, bolted-construction tanks range from 8 m³ to over 20,000 m³ and are widely used in potable water storage, wastewater treatment, sludge storage, and industrial liquids. Over the past decade, 350 tanks have been installed in Saudi Arabia alone, demonstrating the company’s strong global footprint.
Financial Performance
In 2024, Omeras GmbH generated a consolidated turnover of €21.86 million, while Omerastore reported revenues of €10.90 million. The entities have experienced revenue fluctuations in recent years due to pandemic-related restrictions, rising energy costs, and delays in large-scale projects.
However, they maintain high order visibility in both architectural facade and storage tank businesses, which positions them well for recovery. It’s important to note that Omeras GmbH is currently undergoing insolvency proceedings, with the acquisition approved by both the creditors' committee and the court-appointed monitor.
Strategic Rationale for HLE Glascoat
The acquisition marks a strategic expansion into European markets for HLE Glascoat. It provides immediate access to high-growth infrastructure segments such as transportation hubs, tunnels, renewable energy facilities, and water management systems.
By adding storage tanks, silos, biogas digestion tanks, and architectural glass-lined panels to its portfolio, HLE Glascoat will diversify beyond its traditional chemical process equipment segment. The deal also brings German engineering expertise into its manufacturing base, enhancing credibility for premium global projects.
Key benefits include:
-
Technology Synergy: Expanding glass-lining expertise into infrastructure and architectural markets.
-
Market Expansion: Strengthening presence in Europe and the Middle East.
-
Product Diversification: Reducing dependence on cyclical process industry demand.
-
Global Growth Potential: Targeting Asia-Pacific, Africa, and Latin America with modular storage solutions.
Opportunity Landscape
The acquisition aligns with global trends in urban infrastructure upgrades, sustainability initiatives such as biogas adoption, and increasing demand for water and wastewater management solutions. HLE Glascoat also plans to leverage cross-selling opportunities by introducing Omeras’ products to its 1,500+ chemical and API industry clients.
Additionally, the deal creates a strong platform for participating in tender-based public infrastructure projects, where proven global references can be a decisive advantage.
Corporate Structure Post-Acquisition
Following the acquisition, Omerastore GmbH will operate as a 100% subsidiary of HLE Surface Technologies GmbH, which in turn is wholly owned by HLE Glascoat Limited. This structure ensures full integration while maintaining operational autonomy to leverage local expertise.
Conclusion
The acquisition of Omeras GmbH assets and Omerastore GmbH is a landmark step in HLE Glascoat’s global expansion strategy. By integrating these German entities, HLE is positioning itself as a diversified solutions provider for chemical, infrastructure, and renewable energy markets.
With a deal value of €2.75 million, access to European manufacturing facilities, and a proven product range, HLE Glascoat is set to enhance its international presence and tap into emerging infrastructure opportunities worldwide. This move not only strengthens its technological and product portfolio but also aligns with its long-term vision of becoming a global leader in industrial and infrastructure solutions.
