Fabricated Board Resolutions: The company discovered that certain HoABL entities filed Board Resolution(s) (BRs) with government authorities that purportedly granted permission for the use of Macrotech’s trademarks. However, these resolutions were fabricated, as no such Board meetings took place on the dates mentioned in these documents, and the Company’s Board had never considered or approved such resolutions.

Fake Signatures and Altered PAN Card: The BRs contained a signature of one of the Independent Directors of the Company, but upon verification, it was found that the signature was forged and significantly different from the Director’s true signature. Additionally, a PAN card copy of the said Independent Director was attached to the documents, but this PAN card had been altered, with changes to the signature and photograph.

Unauthorized Trademark Use: The HoABL entities used these fraudulent documents to change their corporate names to include the word ‘LODHA’, which is the registered trademark of Macrotech Developers. The name change was approved by government authorities, allowing these entities to use the LODHA name for their business activities.
Company’s Response
Upon learning of these fraudulent actions, the Board of Directors of Macrotech Developers convened a meeting on April 2, 2025 and took serious cognizance of the situation. The Board recognized the conspiracy to use fabricated documents to misuse the Company’s goodwill, brand, and registered trademark.
