Madhav Infra Projects Limited has officially communicated a change in its Company Secretary and Compliance Officer. This announcement follows the resignation of Ms. Kinjal Khandelwal from her position, which was accepted by the Board of Directors at the meeting held on December 27, 2024. Ms. Khandelwal submitted her resignation on December 26, 2024, due to personal reasons, and was relieved of her duties effective from December 27, 2024.

To fill the position, Ms. Khushbu Prajapati has been appointed as the new Company Secretary & Compliance Officer of the company, effective from December 27, 2024. Ms. Prajapati is a qualified Company Secretary with membership number A63791 and holds a Commerce degree from H.L. Institute of Commerce, Ahmedabad University. She has an extensive background in corporate governance and compliance, having played a significant role in regulatory filings, IPOs, and Rights Issues, contributing to her previous positions.

In line with the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015, the company disclosed these changes under Regulation 30. However, the company has acknowledged a delay in notifying the Stock Exchanges about the resignation and appointment. The delay was caused by internal management discussions and the finalization of the appointments. The company has assured that steps are being taken to improve compliance with regulatory timelines moving forward.

The company's official resignation letter from Ms. Khandelwal and her appreciation for the Board's support during her tenure are also included in the annexures. Ms. Prajapati's appointment brings renewed strength to the company's corporate governance and compliance management, as she takes charge of overseeing these critical aspects of the business.
