On April 24, 2025, Mayukh Dealtrade Limited disclosed the resignation of Mrs. Kanika Kabra (DIN: 10291001), an Independent Director of the company. Mrs. Kabra tendered her resignation with immediate effect on April 6, 2024, citing personal reasons and her pre-occupation elsewhere, which made it difficult for her to devote sufficient time to her duties as an Independent Director of the company. The company has confirmed that there are no other material reasons behind her resignation, apart from those stated above.

As per the requirements under Regulation 30 of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015, the company has provided a detailed disclosure regarding this change in the Board of Directors. The resignation was formally communicated through a letter from Mrs. Kabra, in which she also expressed her gratitude for the support and cooperation extended to her during her tenure as an Independent Director.

The resignation is confirmed to be effective from April 6, 2024. The company also disclosed the reason for the change, confirming it was solely due to personal reasons and her inability to devote the necessary time to the company.

Additionally, the company provided a confirmation from the Independent Directors under Clause 7B of Para A of Part A of Schedule III to the SEBI (LODR) Regulations, 2015, which has been enclosed in the filing. The company also confirmed there were no changes to the relationships between directors, as there were no other appointments made at the time of the resignation.

In line with SEBI’s requirements, the company has detailed the current directorships held by Mrs. Kabra in other listed entities. She holds the position of an Independent Director at Tahmar Enterprises Limited, where she is actively involved in the Audit Committee, Stakeholder Relationship Committee, and Nomination and Remuneration Committee, serving as the Chairperson.

Mayukh Dealtrade further confirmed that there were no other material reasons for her resignation other than those stated. The company has assured that they will keep the stakeholders informed of any developments related to the matter and will continue to ensure compliance with all applicable SEBI regulations.
