On August 29, 2024, Mold-Tek Packaging Limited convened its Board of Directors meeting from 11:00 a.m. to 12:10 p.m. (IST). The Board made several significant decisions impacting the company's governance and operational structure.

Annual General Meeting (AGM): The Board approved the notice for the 27th AGM and the Directors’ Report for the fiscal year ended March 31, 2024. The AGM is scheduled for September 26, 2024, and will be conducted through Video Conferencing (VC) / Other Audio-Visual Means (OAVM). The cut-off date for determining the eligibility for the final dividend is September 19, 2024. E-voting will be available from September 22, 2024, to September 25, 2024.

Final Dividend and Register Closure: The Board has decided that the Register of Members and Share Transfer Books will remain closed from September 20, 2024, to September 26, 2024. The final dividend for the financial year 2023-24, if declared at the AGM, will be paid within 30 days to shareholders as of the cut-off date.

Director Reappointments:

Mr. Togaru Dhanraj Tirumala Narasimha is recommended for reappointment as a Non-Executive Independent Director for a second five-year term starting January 27, 2025, through January 26, 2030. His reappointment is subject to approval at the upcoming AGM.

Mrs. Madhuri Venkata Ramani Viswanadham is recommended for reappointment as a Non-Executive Independent Woman Director for another five-year term starting March 11, 2025, through March 10, 2030. This appointment also requires AGM approval.

Senior Management Changes:

Mrs. Janumahanti Navya Mythri will be re-designated as Financial Controller (Senior Management) effective October 1, 2024. She has been with the company since May 2012, demonstrating significant expertise in finance and accounting.

Mrs. Kavya Sarraju will be re-designated as Associate Vice President-Marketing (Senior Management) starting October 1, 2024. With over a decade of experience in marketing and client relationship management, she will lead international expansion efforts.

The Board also confirmed that all directors being reappointed are not disqualified from holding office as per SEBI regulations.
