Shera Energy Limited, a reputed energy sector company headquartered in Jaipur, Rajasthan, held a crucial Board Meeting on 4th June 2025 to discuss and approve several key corporate governance and financial decisions aligned with SEBI’s Listing Obligations and Disclosure Requirements (LODR) Regulations 2015.
At the meeting, the Board, guided by recommendations from the Audit Committee, approved the appointment of M/s Karnani & Co., Chartered Accountants, as the new Internal Auditor for the financial year 2025-26. This change is part of the company’s ongoing efforts to enhance internal audit functions and ensure comprehensive regulatory compliance. M/s Karnani & Co. is a well-established full-service CA firm based in Jaipur, known for its expertise in audit, taxation, accounting, and financial advisory with over 35 years of professional experience.
Additionally, the Board accepted the resignation of the existing Statutory Auditors, M/s Keyur Shah & Company, dated 29th May 2025. Subsequently, the Board approved the appointment of M/s Mohata Baheti & Associates as the new Statutory Auditors to fill the casual vacancy. This appointment is subject to shareholder approval at the upcoming Annual General Meeting (AGM). If approved, M/s Mohata Baheti & Associates will serve as statutory auditors for a consecutive period of five years, from the conclusion of the upcoming AGM till the year 2030.
In a strategic move to enhance its international footprint, the Board also approved an investment of up to USD 1,175,000 (Eleven Lakh Seventy-Five Thousand US Dollars) in Shera Zambia Limited, a foreign subsidiary of Shera Energy. This investment aligns with the company’s growth plans and is authorized under the Companies Act, 2013, Section 179 and Section 186, within shareholder-approved limits.
The Board meeting, held at Shera Energy’s registered office in Jaipur, commenced at 1:00 PM and concluded at 1:30 PM, efficiently covering key agenda items crucial for the company’s governance and expansion initiatives.
