Star Imaging and Path Lab Limited (formerly Star Imaging and Path Lab Pvt. Ltd) has informed the Stock Exchanges (BSE and NSE) about the key decisions taken in the Board meeting held on 15th September 2025. Pursuant to Regulation 30 of SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015, the Board approved the appointment of both Secretarial and Internal Auditors for the financial year 2025-26, following recommendations from the Audit Committee.

The Secretarial Auditor appointment is for M/s Sheetal & Co., Practicing Company Secretaries, having Membership No. FCS 10780 and CP No. 15204, with Peer Review No. 5227/2023. The firm, established in 2015, brings over 9 years of extensive experience in corporate governance, compliance management, and legal advisory services. Their expertise includes secretarial audits, company law compliance, due diligence, and listing compliance guidance. They have been appointed to conduct the Secretarial Audit for FY 2025-26 in compliance with Section 204 of the Companies Act, 2013, under mutually agreed terms with the Company.

The Internal Auditor appointment is for M/s Raj Gupta & Co., Chartered Accountants, established in 1976, with a professional track record of over 49 years. The firm offers comprehensive services in audit and assurance, advisory and transaction services, valuation, taxation, internal audit, forensic audits, and regulatory representations, serving listed entities, SMEs, and a wide range of industries. They have been appointed to conduct the Internal Audit for FY 2025-26, in line with Section 138 of the Companies Act, 2013, under mutually agreed terms with the management.

The Board meeting commenced at 11:00 AM IST and concluded at 11:45 AM IST on the same day. The appointments ensure compliance with SEBI regulations, corporate governance norms, and statutory audit requirements, thereby strengthening the Company's internal control, regulatory adherence, and audit framework.

No relationships exist between the Directors and the newly appointed auditors. Both appointments reinforce Star Imaging’s commitment to transparency, governance, and professional oversight while supporting its operational and statutory compliance.
