Gujarat Narmada Valley Fertilizers & Chemicals Limited (GNFC) has announced the closure of its trading window for insiders and designated persons from April 1, 2025, in compliance with the Securities and Exchange Board of India (SEBI) (Prohibition of Insider Trading) Regulations, 2015, and as per amendments introduced over the years. The trading window will remain closed until 48 hours after the declaration of the Audited Standalone and Consolidated Financial Results for the fourth quarter and the financial year ending March 31, 2025.

The company informed the BSE Limited (BSE) and the National Stock Exchange of India Limited (NSE) that this step is being taken to prevent insider trading and uphold the highest standards of corporate governance. The trading window closure applies to all designated persons, their immediate relatives, and connected persons as defined in the company’s Code of Conduct for Prevention of Insider Trading.

During this period, any dealing involving the purchase or sale of the company’s securities by designated persons and their relatives is strictly prohibited to prevent the misuse of material non-public information (MNPI) related to the financial performance of the company. This is in line with GNFC’s commitment to maintaining transparency and compliance with SEBI regulations that aim to protect investors and maintain a fair market environment.

The trading window will remain closed from April 1, 2025, until 48 hours after the announcement of the audited financial results for the fourth quarter and financial year ending March 31, 2025. The Board of Directors is expected to meet soon to review and approve the financial results, and the date of the Board Meeting will be intimated in due course.
